Terms of Service

Please read these Terms carefully before using the DistributionFlow platform.

1. Agreement to These Terms

By creating an account or otherwise using DistributionFlow ("the Platform", "we", "us", or "our", operated by DistributionFlow Technologies Limited), you agree to be bound by these Terms of Service ("Terms") and acknowledge our Privacy Policy. If you are creating an account or using the Platform on behalf of a business, you confirm that you have authority to bind that business to these Terms. If you do not agree, do not use the Platform.

2. Eligibility

The Platform is intended primarily for use by businesses and their authorised representatives. You must provide accurate and complete information when creating an account, and must have the authority to create and manage the business account you register.

3. Description of Service

DistributionFlow is a cloud-based Software-as-a-Service (SaaS) platform for business and distribution management. Depending on your plan, country, and account type, this may include point of sale (POS), inventory and stock management, sales management, customer and supplier management, purchasing, orders, deliveries/distribution, reports and analytics, staff accounts and permissions, receipt generation and printing, barcode generation and scanning, offline POS functionality, multi-branch operations, subscription management, in-app support/ticketing, an installable app (PWA), push notifications, and integrations with third-party service providers.

Features may differ by subscription plan, country/market availability, and account type. Not every feature described on our website is necessarily available to every account.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials, for the activity of staff you authorise to access your business account, and for the security of the devices used to access the Platform. You must notify us promptly at support@distribution-flow.com if you suspect unauthorised access to or compromise of your account. We may suspend access where reasonably necessary to protect the security of the Platform or its users.

5. Business Data

As between you and DistributionFlow, you retain ownership of and appropriate rights in the business data you or your staff enter into the Platform ("Your Data"), including product, sales, customer, and supplier records.

You grant DistributionFlow the rights necessary to host, store, process, and transmit Your Data solely to provide and support the Platform. You confirm that you have the authority and any necessary lawful basis to provide the data you input, including data about your own customers, suppliers, and staff (see our Privacy Policy, Section 4).

6. Acceptable Use

You agree not to use the Platform to:

  • Engage in unlawful activity or fraud
  • Transmit malware or other harmful code
  • Attempt to gain unauthorised access to any part of the Platform or another account
  • Interfere with, disrupt, or attack the Platform's infrastructure
  • Scrape the Platform or use abusive automation against it
  • Infringe the intellectual-property rights of DistributionFlow or others
  • Sell, distribute, or facilitate illegal goods or services
  • Circumvent billing, subscription, or access controls
  • Impersonate any person or entity
  • Misuse customer, supplier, or staff data entered into the Platform

7. Subscriptions and Billing

The Platform is offered under subscription plans described on our Pricing page. Prices, billing intervals, and plan features shown at checkout or on the Pricing page apply — this document does not restate specific prices, which may change. By subscribing, you agree to pay the applicable fees for your chosen plan and billing interval. Subscriptions may renew automatically at the end of each billing period unless cancelled beforehand. You can upgrade, downgrade, or cancel your plan through your account settings, subject to any plan-specific conditions shown at the time. If a payment fails, we may retry, notify you, and may suspend or limit access to paid features until payment is resolved.

8. Free Trials

Where a free trial is offered, its duration will be shown to you when you sign up. We may change or discontinue trial offers at any time. At the end of a trial, your account may be limited or suspended unless you subscribe to a paid plan; some features or data access may be restricted after trial expiry until a subscription is active.

9. Fees and Taxes

Subscription fees are shown to you before purchase. Applicable taxes may be added depending on your country. Where our payment provider(s) disclose separate processing fees, those may also apply. Fees may vary by country and currency.

10. Payment Integrations

DistributionFlow provides software that integrates with third-party payment providers (such as Paystack) to support billing and, where enabled, in-platform payment features. DistributionFlow Technologies Limited is not a bank and is not itself a licensed payment processor or deposit-taking institution.

Use of payment functionality may be subject to the separate terms of our payment provider(s). We are not responsible for outages, errors, or actions of third-party payment providers beyond our reasonable control, without limiting any obligations we have to you under applicable law.

11. Refunds and Cancellations

You may cancel your subscription at any time through your account settings; cancellation stops future billing but does not automatically entitle you to a refund of amounts already paid, except as required by applicable law. DistributionFlow does not currently have a separate, published refund policy beyond what is stated here; if you believe you were incorrectly charged, contact support@distribution-flow.com and we will review it in good faith.

12. Your Transactions With Your Own Customers

You are responsible for the sales you make to your own customers, including pricing, product descriptions, receipts and invoices, applicable taxes, and resolving any disputes with your customers. DistributionFlow provides software tools to record and manage these transactions and does not become a party to the sales contract between you and your customer merely because the Platform records it.

13. Offline Functionality

Some POS features can operate without an internet connection, with records syncing once connectivity returns. Network outages, device issues, or sync conflicts may delay when records appear across devices. We do not guarantee uninterrupted offline availability, and you should verify that offline sales have synced and reconciled correctly.

14. Hardware and Third-Party Devices

The Platform is designed to work with common devices and, where applicable, hardware such as barcode scanners and printers. Unless DistributionFlow expressly supplies hardware to you, such hardware remains subject to its manufacturer's or provider's own terms and warranties, and we do not guarantee that every device or hardware combination will work with the Platform.

15. Support

We provide in-app support and ticketing functionality. Where our support pages state an estimated response time (for example, "most support requests receive a response within one business day"), this is a target, not a contractual service-level agreement, unless we have separately agreed an SLA with you in writing.

16. Service Availability

We aim to keep the Platform available and reliable, but the Platform may be unavailable from time to time due to maintenance, updates, outages, or issues with third-party dependencies, and availability may also vary by market. We do not guarantee 100% uptime unless a specific service-level agreement has been separately agreed in writing.

17. Suspension and Termination

We may suspend or terminate access to the Platform for reasons including non-payment, breach of these Terms, suspected fraud or security risk, unlawful use, a legal or regulatory requirement, or other activity that could harm the Platform or its users.

You may terminate by cancelling your subscription and ceasing use of the Platform. Following termination, we will handle your data as described in our Privacy Policy, including any applicable retention obligations.

18. Intellectual Property

DistributionFlow retains all rights in the Platform's software, brand, designs, code, trademarks, and platform content, excluding Your Data. These Terms do not grant you any rights beyond the limited right to use the Platform as described here. You retain your own rights in Your Data.

19. Confidentiality

Each party agrees to use reasonable care to protect non-public information disclosed by the other party in connection with the Platform, and to use it only as necessary to perform its obligations or exercise its rights under these Terms.

20. Third-Party Services

The Platform may integrate with third-party services (for example, payment, mapping, email, SMS, or WhatsApp providers). Your use of those services may be governed by their own terms, and we do not control third-party systems we do not operate.

21. Disclaimers

The Platform is provided on an "as is" and "as available" basis, subject to applicable law and any specific commitments we make in writing. We do not warrant that the Platform will be error-free or uninterrupted, or that reports it generates will be free of inaccuracies arising from the data you input. DistributionFlow does not provide legal, tax, accounting, or banking/payment-services advice, and providing this software does not make us a provider of those services.

22. Limitation of Liability

To the extent permitted by applicable law, DistributionFlow will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law. 23. Indemnification

You agree to indemnify DistributionFlow against reasonable claims, damages, and expenses arising from your unlawful use of the Platform, your infringement of a third party's rights, or your material breach of these Terms. (This section should be reviewed by legal counsel before final publication.)

24. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without prejudice to any mandatory consumer-protection or data-protection rights you may have under the law of the country where you are located, which are not removed by this governing-law clause. (Final dispute and jurisdiction wording should be reviewed by legal counsel.)

25. Dispute Resolution

If a dispute arises, please contact us at support@distribution-flow.com first so we can attempt to resolve it in good faith. If it cannot be resolved this way, either party may pursue the matter before the courts of Nigeria, or another dispute-resolution mechanism the parties agree to in writing.

26. Changes to These Terms

We may update these Terms from time to time. Where changes are material, we will make reasonable efforts to notify registered users in advance (for example, by email or in-app notice). Continued use of the Platform after an update takes effect constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
