Terms of Service

Please read these Terms carefully before using the DistributionFlow platform.

1. Acceptance of Terms
By accessing or using DistributionFlow ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Platform.
2. Description of Service
DistributionFlow is a cloud-based FMCG (Fast-Moving Consumer Goods) distribution management platform that enables businesses to manage orders, track deliveries, manage retailers, monitor inventory, process payments, and generate business reports. The Platform is provided as a Software-as-a-Service (SaaS) product on a subscription basis.
3. Account Registration
To use the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.
4. Subscription and Payment
The Platform is offered under various subscription plans as described on our Pricing page. By subscribing, you agree to pay the applicable fees. Subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days notice. Failure to pay may result in suspension or termination of your account.
5. Free Trial
We may offer a free trial period for new accounts. At the end of the trial period, your account will be suspended unless you subscribe to a paid plan. We reserve the right to modify or discontinue free trials at any time without notice.
6. Acceptable Use
You agree not to use the Platform to: (a) violate any applicable laws or regulations; (b) transmit any harmful, fraudulent, or misleading content; (c) interfere with or disrupt the Platform's infrastructure; (d) attempt to gain unauthorized access to any part of the Platform; (e) use the Platform to send unsolicited communications; (f) reverse engineer, decompile, or disassemble any part of the Platform; or (g) resell or sublicense the Platform without our written consent.
7. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. You own all data you input into the Platform ("Your Data"). By using the Platform, you grant us a limited licence to store, process, and transmit Your Data solely to provide the services. We will not sell Your Data to third parties. We implement industry-standard security measures to protect Your Data, including role-based access controls that let you restrict staff members to specific branches within your account where you operate a multi-branch business. Our platform administrators may access account and business data across all customer accounts solely for support, billing, security, and platform-operation purposes.
8. Data Retention and Deletion
Upon termination of your account, we will retain Your Data for 30 days, during which you may request an export. After this period, Your Data will be permanently deleted from our systems. You are responsible for exporting any data you need before account termination.
9. Intellectual Property
The Platform, including all software, designs, trademarks, and content (excluding Your Data), is owned by DistributionFlow and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited right to use the Platform as described herein.
10. Third-Party Services
The Platform may integrate with third-party services including payment processors (Paystack), mapping services (Google Maps), email services (Resend), and SMS services. Your use of such services is subject to their respective terms of service. We are not responsible for the practices of third-party service providers.
11. Marketer Referral Program
We operate a referral program under which independent marketers may refer new business accounts to the Platform in exchange for a referral fee, governed by a separate Marketer Referral Agreement. Referral activity, including which marketer referred a given account, is tracked for the purpose of administering that program and is not shared with the referred business beyond what is reasonably necessary to operate it.
12. Uptime and Availability
We strive to maintain 99.5% uptime but do not guarantee uninterrupted access to the Platform. We may perform scheduled maintenance with advance notice. In the event of unexpected downtime, we will make reasonable efforts to restore service as quickly as possible. Downtime beyond our reasonable control shall not constitute a breach of these Terms.
13. Limitation of Liability
To the maximum extent permitted by applicable law, DistributionFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.
14. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Platform will meet your specific requirements, be error-free, or that defects will be corrected. We do not warrant the accuracy of any reports or data generated by the Platform.
15. Indemnification
You agree to indemnify and hold harmless DistributionFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
16. Termination
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Platform. We may terminate or suspend your access immediately, without notice, for breach of these Terms, non-payment, or for any reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Nigeria. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
18. Changes to Terms
We reserve the right to update these Terms at any time. We will notify registered users of material changes via email or in-app notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
